Mission statement: The Northwest All Breed Goat Club shall exist to support and promote
comradery and education among goat owners and enthusiasts in the Northwest through
meetings, correspondence, education, shows, and the exchange of knowledge and ideas.

Article I- Name
Northwest All Breed Goat Club

Article II- Purposes and Objectives

1. To enable comradery and the exchange of information and ideas amongst goat owners and

Article III- Membership

1. Eligibility: Membership is open to any person or farm whether they own goats or not. Annual
dues must be paid to be considered a member in good standing.
2. Each paid membership is entitled to one vote and will receive the club newsletter.
3. Actions requiring member approval:
        a) approve the dissolution of the club
        b) approve changes to the club’s by-laws
        c) election of Executive Board
4. Any member may be removed from the membership for just cause by a simple majority vote
at any regular, scheduled meeting.

Article IV- Dues

1. Club membership year shall run from January 1 through December 31.
2. Dues shall be determined by the Executive Committee and shall be payable by February 1.
Dues must be paid to vote and receive the newsletter.
3. New members, joining after July 1, will pay 50% of the annual dues.

Article V- Membership Rights and Privileges

1. Notification of meetings starting time, date, and location with contact phone number and/or directions.
2. Advice and information as needed.
3. The right to attend all meetings, to be recognized by the chair and to speak.
4. The right to request a ballot vote at any time.
5. The right to vote on all matters put before their membership by the Executive Committee.

Article VI- Voting
1. A simple majority of the votes cast shall be necessary to pass any item unless specified
2. For the annual election of officers, you must be present. If you cannot be present then an absentee paper ballot must be requested 15 business days prior to election. Absentee ballots must be received by the club two days prior to the Fall Membership meeting.
3. At the discretion of the executive Board, matters that are neither time sensitive nor
discussion driven may also be submitted to the membership for mail in or online voting. A
paper ballot must be requested. The ballot shall present the proposal, followed by the words
"Yes" (supporting proposal) or "No" (opposing proposal). The ballots shall be counted by the
tellers appointed to count the votes. Only signed ballots shall be counted.
Article VII- The Executive Committee
Section I- officers
1. President: Shall preside at all meetings
2. Vice President: Shall preside over meetings in the absence of the President or at the request
of the President. The Vice President shall be one of two required signatures on the club’s bank
3. Secretary: Shall compile and maintain Cub minutes of all meetings, legal matters and the
Club correspondence.
4. Treasurer: Shall maintain all financial records of the Club. A report of the Club finances shall
be available for meeting and the Club newsletter. The Treasurer shall be the primary signature
of the two signatures on the Club bank account. No officer shall issue a reimbursement check
to themselves.
5. The offices of Secretary and Treasurer may b combined by necessity and by a vote of the
membership.6. Two members of the same household may not serve on the Executive
Committee at the same time.
Section II- Duties of the Executive Committee
1. To conduct the affairs of the Club in an efficient and timely manner according to the By-laws.
This include regulations, programs or events which may be adopted by the club.
2. Officers shall maintain all records of the Club business, such as finances, membership list,
activities, facilities or properties. These records shall be available for inspection by any member
in good standing when request is made in writing to the Executive Committee.
3. Shall regularly review the financial records of the Club.
4. Shall appoint a newsletter editor.
5. Executive Committee will meet a minimum of 3 times a year.

Section III- Suspension and Removal
1. Any officer of the Club may be removed for just cause by a simple majority vote at any
regularly scheduled meeting.
2. No vote on suspension or removal may be taken unless at least fifteen days prior notice has
been given to the officer regarding the charges and include the date, time, and location that the
meeting is to take place.
3. Notice including the date, time, location and copy of the charges against the officer must be
given to each member at least fifteen days in advance of the meeting and scheduled vote.
4. At such meeting the officer against who charges have been filed shall be accorded a full
hearing and may be represented by counsel of the member of their choice.
5. The officer involved shall not perform the duties of office until the matter is resolved.
Section IV- Vacancies
In the event of death, resignation, suspension, removal or permanent disability, the vacancy
shall be filled by a vote of the membership. The Executive Committee shall appoint a Pro-tem
until the membership may act.
Article VIII- Compensation and Reimbursement
1. No member shall receive compensation for services unless authorized by vote of the
Executive Committee No member shall receive compensation for services unless authorized by
vote of the membership.
2. Members shall be entitled to reimbursement for expenses incurred on behalf of the Club to
such extent as they are authorized and approved by the Executive Committee.
3. A receipt or disbursement ledger is required for any reimbursement.
4. All expenditures should have approval of the Executive Committee.
Article IX- Meetings
1. The club shall meet to hear reports of officers and committees and to transact any business
properly brought before the membership. The date, time, and location of the meeting shall be
determined by the Executive Committee.
2. In the event of a dispute, or by necessity to proceed with a meeting in an orderly manner,
Robert’s Rules of Order, second edition shall be invoked at the request of any member.
Article X- Election of Officers
1. Voting privileges are granted to each member in good standing at the time of the election.
2. Nominations for office shall be made by the membership and elections shall be held annually
at the Fall Membership meeting.
3. Officers will be elected by a simple majority vote of the members in good standing.
5. The new officers shall transition into office by January 1st.

6. Candidates for the Executive Committee must be members in good standing, at least 18
years of age, who are willing to commit to attending at 75% of the meeting and are willing and
able to fulfill the function and duties of that office.
Article XI- By-laws
1. The by-laws shall govern the Club functions.
2. Any portion of these by-laws in conflict with any county, state, or federal law shall be
rendered null and void.
3. Any individual member may petition, in writing, to amend these by-laws by citing the
proposed amendment.
4. Said petition for amendment shall be published, in its entirety, preceding the meeting where
it is to be voted upon.
5. Passage of the amendment shall require a simple majority vote of the members, in good
standing, attending the meeting.
Article XII- Dissolution
In the event of dissolution, after satisfying all obligations, the remaining assets shall be
dispersed by vote of the membership to not for profit organizations, preferably promoting the
interest of goat welfare and goat keeping.
